NEWSFENDER

Commercial Terms & Conditions

Version 1.0

1. Quotations

  • All quotations remain valid for 30 calendar days unless otherwise stated.
  • Prices are exclusive of taxes, duties, customs fees and shipping costs unless specifically included in the quotation.

2. Payment Terms

  • 50% advance payment is required to confirm any order and reserve production capacity.
  • The remaining 50% balance must be paid before shipment once the order is completed and the customer has been notified that it is Ready for Shipment.
  • Production will not begin until the initial payment has been received.

3. Shipment Policy

  • No products will be shipped without full payment.
  • Shipping dates are estimated and begin only after receipt of the advance payment.
  • Delays caused by outstanding payments automatically extend delivery schedules.

4. Ownership of Goods

  • All products remain the exclusive property of NewsFender until full payment has been received.
  • Ownership transfers only after the final invoice has been paid in full.

5. Technical Support

  • Technical support is provided during normal business hours according to the purchased package.
  • Support includes assistance with installation, configuration and normal operation of NewsFender products.
  • Requests outside the agreed scope may be billed separately.

6. Outstanding Payments

If invoices become overdue:

  • Technical support may be suspended.
  • Access to software updates may be suspended.
  • Delivery of new designs, G-code files, engineering documentation or additional services may be suspended.
  • Manufacturing of new orders may be placed on hold.

Services will resume once the outstanding balance has been settled.

7. Design Files & Intellectual Property

  • All CAD files, G-code, drawings, engineering documents and software remain the intellectual property of NewsFender unless otherwise agreed in writing.
  • Customers receive the agreed rights of use but not ownership of the underlying intellectual property.

8. Acceptance

When NewsFender notifies the customer that the order is complete and Ready for Shipment, the customer shall arrange payment of the remaining balance within 5 business days, unless different terms have been agreed in writing.

9. Warranty

The warranty covers manufacturing defects under normal intended use.

The warranty does not cover:

  • Incorrect installation
  • Misuse
  • Accidental damage
  • Unauthorized modifications
  • Damage caused by improper operation

10. Force Majeure

NewsFender shall not be liable for delays caused by events beyond its reasonable control, including transportation disruptions, supplier shortages, customs delays, natural disasters or governmental actions.

11. Governing Law

These Commercial Terms shall be governed by the laws of the country where the supplying NewsFender entity is established.

Additional Policy for Franchisees and Industrial Partners

To ensure fair collaboration and efficient resource allocation:

  • Engineering support is available only for accounts in good financial standing.
  • New production files, G-code releases, custom developments and engineering modifications are delivered only after contractual payment obligations have been fulfilled.
  • NewsFender reserves the right to suspend ongoing development work until overdue invoices are settled.
  • Continued technical assistance does not constitute a waiver of any outstanding payment obligations.


Professional Courtesy Policy

NewsFender is committed to maintaining long-term professional relationships based on mutual respect, transparency and timely fulfillment of contractual obligations. Any commercial dispute shall not modify the agreed payment terms unless confirmed in writing by both parties.
